UMIK, INC. grants VINTAGEHAOY INC the authorization to sell all genuine products under the UMIK brand including all current and future UMIK branded products.
This authorization includes the right to:
Brand Image: VINTAGEHAOY INC commits to strictly adhere to UMIK's brand guidelines and marketing policies, ensuring the maintenance of the brand's premium image.
Product Quality: VINTAGEHAOY INC commits to selling only genuine UMIK products obtained directly from UMIK, INC. or its designated suppliers.
Intellectual Property: VINTAGEHAOY INC acknowledges UMIK, INC.'s exclusive ownership of its brand, trademarks, and all related intellectual property.
Marketing: All advertising or promotional activities require prior written approval from UMIK, INC.
Non-Transferability: This authorization is personal to VINTAGEHAOY INC and may not be assigned or transferred without UMIK, INC.'s written consent.
Term: This authorization is effective from July 5, 2025, and shall remain in effect for one year.
Termination: Either party may terminate this authorization with thirty (30) days' prior written notice for material breach by the other party.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.
Amendments: Any modification must be in writing and signed by authorized representatives of both parties.

A renowned cosmetics and beauty brand, holding legal ownership of its brand name, trademarks, product formulations, and related intellectual property.
VINTAGEHAOY INC
Authorized to sell UMIK products exclusively through the SHEIN platform under the terms of this agreement.
